Welcome to Oz Marketing (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of our website, ozmarketingonline.com, and any services, products, or digital content we provide (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please discontinue use of our Services.
1. Services Overview
Oz Marketing provides marketing, advertising, web design, web development, graphic design, branding, and consulting services for businesses. Each project’s scope, timeline, and deliverables are defined in a written agreement, proposal, or invoice.
2. Quotes, Proposals, and Payment
All quotes and proposals are valid for 30 days from the date issued unless otherwise noted.
Work will not begin until a signed agreement and/or deposit is received.
Unless otherwise stated, a 50% deposit is required to initiate a project, with the balance due upon completion or before launch.
Late payments may incur interest at 1.5% per month (or the maximum allowed by law).
Any additional work or revisions beyond the agreed scope will be billed at our current hourly rate.
3. Client Responsibilities
To ensure timely delivery, clients agree to:
Provide all necessary content, images, and access credentials promptly.
Review deliverables and provide feedback within the agreed timeline.
Maintain the accuracy and ownership rights of all materials submitted to Oz Marketing.
Oz Marketing is not responsible for delays caused by a client’s failure to provide materials, approvals, or responses.
4. Intellectual Property
All creative materials, designs, and code produced by Oz Marketing remain our property until full payment is received.
Upon final payment, ownership of final deliverables transfers to the client, excluding any third-party components, stock assets, or proprietary tools used to produce the work.
Oz Marketing reserves the right to display completed work in our portfolio and marketing materials unless a non-disclosure agreement (NDA) explicitly prohibits it.
5. Website Hosting and Maintenance
If Oz Marketing provides hosting or ongoing website maintenance:
The service will be billed as a recurring monthly or annual fee.
Oz Marketing may suspend or terminate hosting for non-payment, abuse, or violation of acceptable use standards.
Clients are responsible for maintaining current backups unless under a maintenance plan that specifies otherwise.
6. Advertising & Third-Party Services
Oz Marketing may manage third-party platforms (Google Ads, Meta Ads, Mailchimp, etc.) on the client’s behalf.
The client is responsible for paying all third-party advertising costs directly, unless otherwise arranged in writing.
Oz Marketing is not responsible for downtime, platform changes, or performance issues caused by third-party providers.
7. Confidentiality
Both parties agree to keep all non-public information, project details, and trade secrets confidential unless disclosure is required by law or consented to in writing.
8. Limitation of Liability
To the maximum extent permitted by law:
Oz Marketing shall not be liable for any indirect, incidental, or consequential damages, including lost profits, arising out of or related to the Services.
Our total liability for any claim shall not exceed the total amount paid by the client for the specific project or service giving rise to the claim.
9. Termination
Either party may terminate a project or agreement with written notice.
If terminated by the client before completion, the client will be invoiced for all work performed up to the date of termination.
Deposits are non-refundable once work has commenced unless otherwise agreed.
10. Revisions and Approvals
Each service includes a defined number of revision rounds as specified in the project scope. Additional revisions beyond that scope will incur additional fees.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles. Any disputes will be handled in the courts of Davis County, Utah.
12. Changes to These Terms
Oz Marketing may update these Terms at any time without prior notice. The updated version will be posted on this page with a new “Last Updated” date. Continued use of our Services indicates acceptance of the revised Terms.
